Step-by-Step Guide: How a Foreigner Buys an Apartment in Ukraine

Step 1. Property Selection

Find a reliable realtor. Once a suitable apartment is found, do not rely solely on the agent’s word.

Step 2. Legal Due Diligence (The Most Important Step!)

Order a professional legal verification of the apartment and developer/seller:

• Is the seller the true owner?

• Are there any hidden encumbrances, liens, or court disputes?

• For new builds: does the developer have all permits? Is the land title clean?

Step 3. Obtaining a Tax Number (RNOKPP)

Opening a bank account in Ukraine requires the buyer’s personal presence. 1. What bank account should I use?

In accordance with subparagraph 170.10.2 of paragraph 170.10 of Article 170 of the Tax Code of Ukraine, when a non-resident sells corporate rights in a Ukrainian enterprise to another non-resident, payment must be made through an account opened by the non-resident payer (buyer) in a resident bank (i.e. a Ukrainian bank). And such a bank is considered a tax agent for such a transaction.

If non-residents (buyer and seller) of corporate rights do not pay through an account in a Ukrainian bank, it will be difficult for the buyer to prove their expenses on the acquisition of the investment asset. Accordingly, upon further sale of such corporate rights, taxes will have to be paid on the entire value of the corporate rights, without deducting the acquisition expenses.

Therefore, we recommend carrying out transactions for the purchase and sale of corporate rights of a Ukrainian enterprise through bank accounts in Ukraine.

2. Mandatory provision in the contract

If a non-resident receives investment income from a transaction with a resident of Ukraine (for example, a non-resident sells corporate rights to a resident), then the resident of Ukraine acts as a tax agent of the non-resident. Moreover, according to subparagraph 170.10.3 of paragraph 170.10 of Article 170 of the Tax Code of Ukraine, when concluding such an agreement with a non-resident, the resident is obliged to specify in the agreement the tax rate that applies to such income.

How does it work actually in Ukraine? Based on most popular questions of the clients to our lawyers we prepared this publication.

1. The divorce case is a separate case and is not combined with alimony case or assets disribution. The alimony cases and disputes about assets disribution shall be solved by the court in separate processes.
2. Attorneys prepare all documents remotely. All documents according to the list the client shall send to the attorneys per email.
3. The client does not have to come to Ukraine personally. The client may send all required document to the attorneys with currier (DHL, Fedex etc.).
4. Attorneys will themselves hold the translation of documents and pay the court fee, as well as apply to the court.
5. Usually it takes up to 4 (four) days from the date of obstinance of the documents from the client until the divorce claim is filed to the court.

7. The court hearing may take place in absence of the parties, therefore we may apply to any court of Ukraine regardless from its geographical location (with respect to the territorial jurisdiction).
8. If needed the courts decision may be certified by the apostile for its usage abroad. This is a separate services, which shall be paid extra and requires additional time period.
9. After issuance by the court of the divorce decision no additional certificate is issued. The court decree is the only document which is issued in this case. Additionally partires may obtain the extract from the Ukrainian register of civil status of the citizens (if the marriage was registered in Ukraine), which will confirm the divorce. The extract from the register of civil status of the citizens may be also certified by the apostile for its usage abroad.

Yes, Ukrainian legislation allows foreign citizens to buy and own apartments (real estate) in Ukraine.

2. Is it possible to buy a ready-made apartment or an apartment under construction (developement) in Kyiv / Ukraine?

It is allowed to purchase both a ready-made apartment and/or an apartment under construction in Kyiv / Ukraine. The differences will be in cost, registration procedure and guarantees.

3. Is it better to purchase an apartment in Kyiv / Ukraine registering it under an individual or a company (legal entity)?

It all depends on the purpose of purchasing an apartment in Kyiv / Ukraine. If an apartment in Kyiv / Ukraine is purchased for personal long-term use, then it is better to buy it as an individual.

If an apartment is purchased for resale, lease, and even more so if several apartments are bought in Kyiv / Ukraine, then it makes sense to consider purchasing real estate for a company, but taking into account the tax burden of Ukrainian companies.

4. How does it work for a foreigner to purchase an apartment in Kyiv / Ukraine?

When an apartment is selected, it is necessary to conduct a due diligence of the apartment (developer), which could determine the possible risks of purchasing such an apartment in Kyiv / Ukraine. It is better not to limit yourself with the services of a realtor, but to order the appropriate legal service from specialists, for example, from lawyers of the Zilver Law Firm.

Further, it is necessary to agree on the terms of the transaction, incl. settlement procedure. If the apartment is purchased from another non-resident (in accordance with clause 170.10.2. Clause 170.10 of article 170 of the Tax Code of Ukraine) or settlements will be carried out in hryvnia, then you will have to open a bank account in a Ukrainian bank. It should be borne in mind that quite often individual sellers aim to receive a significant part of the payment in cash.

Naturally, in order to complete the transaction with a notary, translations of the buyer’s documents and his personal presence or the presence of an authorized representative will be required (this may also be a lawyer).

The deal is being finalized at the notary, who provides the necessary account details for paying the fees, and also enters information in the register of rights to real estate about the new owner of the apartment in Kyiv / Ukraine.

5. Can a foreigner rent out an apartment in Kyiv / Ukraine?

Yes, he/she can. In this case, you will have to pay taxes in Ukraine.

6. Will an apartment in Kyiv / Ukraine be considered as a joint tenancy of the spouses?

According to the family and civil legislation of Ukraine, – yes.

7. Can a foreigner freely sell an apartment in Kyiv / Ukraine?

There are no restrictions on selling an apartment in Kyiv / Ukraine. The owner (regardless of citizenship) is free to sell an apartment in Kyiv / Ukraine.

The foreign citizen may apply for the temporary residence permit in Ukraine only if he/she entered Ukraine with visa D (with some exceptions). Therefore, foreigner has to go out from Ukraine (if he/she was in Ukraine while work permit was obtained) and apply to any Ukrainian consulate on other state for visa D-02. There is no possibility to get visa D while staying in Ukraine.

The state of application does not have to be state of residency or nationality of the applicant. It may be any state, more comfortable for visit by such foreign citizen. The list of the Ukrainian consulates may be found on the Ministry of foreign affairs of Ukraine.

To obtain a D-02 visa, the foreigner shall submit following documents:

1. Passport;
2. Application form (shall be filled in embassy or online, depending on how the documents will be submitted);
3. One color photo 35 x 45 mm;
4. A valid medical insurance policy on the territory of Ukraine with coverage for 30 000 Euros + with coverage for treatment, observation, quarantine, diagnosis of COVID;
5. A document that confirms the availability of sufficient funding for a foreign citizen to stay in Ukraine during the validity of D-type visa (45 calendar days) = 75 700 UAH. Such a document can be: cash in the amount specified above, a card statement with the amount specified above, a bank statement with the amount specified above (foreigner’s bank account);
6. Receipt for payment of the consular fee;
7. The original and a copy of the employment permit;

After obtaining a D-visa, foreigner shall enter the territory of Ukraine by this visa and apply for temporary residence permit.

In these cases, the question arises whether such office can be considered a permanent representation which, moreover, has to pay taxes to the Ukrainian budget.

Representative office (also called “Permanent representation”) is a permanent place where the business activity of a non-resident in Ukraine is carried out, in particular, a branch, an office, a server etc.

What is a procedure for registering the permanent representation?

The permanent representation is to be registered in two steps.

1. Registration with the Ministry of Economy (Ministry for Development of Economy, Trade and Agriculture of Ukraine).
2. Registration with the State Tax Service of Ukraine as a taxpayer. After registration the permanent representation should be entered in the Registry of Non-Resident Taxpayers indicating the income taxpayer category.

How does the permanent representation of the non-resident work?

• A non-resident provides services through employees hired by it for such purposes if this activity is carried out (within the framework of one project or associated project) in Ukraine within the period(s) lasting more than 183 days in aggregate in any twelve-month period.
• Through those who actually have and usually exercise powers either to negotiate for essential terms of undertakings based on the agreement or another undertaking resulting in that the non-resident enters into agreements (concludes contracts) without changing such terms essentially and / or to enter into agreements (to conclude contracts) on behalf of the non-resident if a person carries out the mentioned activity in the interests, for the account and / or for the benefit of the non-resident exclusively and / or associated non-resident persons.

What signs has the permanent representation?

• The person has and uses a business e-mail address of the non-resident and / or its associated persons in order to interact with the non-resident and / or the third parties, with whom the non-resident has already concluded contracts or entered into other agreements, or will conclude contracts or enter into other agreements.
• The person has premises leased on his/her behalf to keep property acquired at the expense of the non-resident or owned by the non-resident or the third parties which is to be transferred to the third parties as directed by the non-resident, or for other purposes defined by the non-resident.
• Activities of the resident match with that of the non-resident.
• The activity of the non-resident is permanent and regular without any signs of the ancillary or preparatory activity.
• The resident enters into agreements on behalf of the non-resident.

Effects of recognition of an office as a permanent representation according to the results of the tax audit.

If it is established during the audit that the non-resident was carrying out its activity through separate business units, including the permanent representation in Ukraine without the tax registration, the supervisory authority shall draw up the Certificate of Audit. Based on the Certificate of Audit the supervisory authority may decide to register such non-resident in Ukraine without the application of the non-resident and without receiving any objections to the Certificate of Audit.

Liability for recognition of the business activity of the non-resident as a permanent representation without the tax registration

• Seizure of property.
• Fine of UAH 100,000 imposed on the non-resident.
• If the permanent representation has violated the procedure for paying taxes in Ukraine, the following criminal liability shall apply depending on the amount of unpaid taxes according to the art. 212 of the Criminal Code of Ukraine:

v in a considerable amount (from UAH 3,000,000.00) – a fine from UAH 3,000,000.00 to UAH 5,000,000.00.

v in a large amount (from UAH 5.5,000,000.00) – a fine from UAH 5,000,000.00 to UAH 8,000,000.00.

v in an especially large amount (from UAH 8,000,000.00) – a fine from UAH 16,000,000.00 to UAH 28,000,000.00.

Can the permanent representation include the foreign corporate income in its income / tax base?

The taxable income of the representative office should match with the income of the independent enterprise that carries out the same or similar activity under the same or similar conditions and acts absolutely independently of the non-resident, which permanent representation it is. Therefore, no foreign corporate income is to be included in the income / tax base of the permanent representation.

Judicial practice of the Supreme Court regarding the signs and taxation of the permanent representation

By the Decree dated 17 October 2019 No. 2а-16434/12/2670 the Supreme Court has determined a dominant sign of the permanent representation:

‘Having a specified place of activity is also a dominant sign of the permanent representation. It is not necessary to register the place of activity as a separate business unit so that such place can be considered the permanent representation.’

By the Decree dated 16 March 2020 in respect of the case No. 826/7675/18 the Supreme Court has determined that the item of taxation should be as follows:

‘According to the sub-clause 134.1.2 clause 134.1 article 134 of the Tax Code, the item of income taxation shall be the income (profit) of the non-resident stemming from Ukraine, which is subject to taxation in accordance with the article 160 of this Code.

Income stemming from Ukraine means any income earned by residents or non-residents, including from any activities in Ukraine (including payment (accrual) of remuneration by foreign employers), its continental shelf, in the exclusive (maritime) economic zone (sub-clause 14.1.54 clause 14.1 article 14 of the Tax Code of Ukraine).

The clause 160.1 article 160 of the Tax Code provides that any income stemming from Ukraine earned by the non-resident is liable to tax in the manner and at rates specified by this article. For purposes of this clause, the income stemming from Ukraine earned by the non-resident shall be understood to mean, in particular, other income earned by the non-resident (permanent representation of this or any other non-resident) from the business activity carried out in Ukraine, except for income from sales or as other reimbursement of the cost of goods / works performed / services provided transferred / performed / provided by such non-resident (permanent representation) to or for the resident, including cost of international telecommunication services or international information support services.’

By the Decree dated 17 October 2019 in respect of the case No. 2а-16434/12/2670 the Supreme Court has determined that the amount of profits of the non-resident shall be ascertained as follows:

‘If a non-resident carries out its activity not only in Ukraine but also abroad and does not fix profits from this activity carried out by it through the permanent representation in Ukraine, the amount of profits liable to tax in Ukraine shall be ascertained based on the separate balance sheet for the financial and business activity drawn up by the non-resident and agreed with the state tax service authority at the place of the permanent representation.’

Besides, this Decree determines a condition necessary to recognize the representation:

‘To be recognized as a permanent representation, the representation of a non-resident needs to carry out the commercial activity. For tax purposes, the permanent representation of the non-resident in Ukraine is considered a separate business entity, which does not depend on the non-resident.’

The Decree of the Supreme Court dated 15 March 2016 in respect of the case No. 826 / 14127/14 describes the effects of recognition of activity of the resident and non-resident as identical:

‘If a representation of a non-resident carries out the activity (ies), which is (are) the same as the primary activity of the non-resident, such representation shall earn the status of the permanent representation and its activity in Ukraine shall be liable to tax on general terms.’

Thus, the risk of recognition of an office of a foreign company in Ukraine as a permanent representation and taxpayer in Ukraine depends on many factors and is to be determined in each individual case.

The general rule can be established as follows: If an office (a permanent representation) carries out the commercial activity in Ukraine, that is, enters into agreements and earns profits, it is reasonable to register either the permanent representation or the subsidiary.

If the office takes no part in commercial undertakings of the non-resident, the risk of recognition of such office as a permanent representation remains (and depends on particular circumstances); however, there is only risk of the fine of UAH 100,000 with the forced tax registration. If the permanent representation has no income from its activity, it will not actually pay taxes; for this reason, there is no administrative and criminal liability for relevant violations. In this case, the question on the violation of employment law is still open but anyway has some chance of success.

All legal issues shall be clearly regulated already at the stage of entering into contracts with the Human Reproduction and Embryology Centers in Ukraine. In practice, it is not uncommon for the Human Reproduction and Embryology Centers in Ukraine to give to sign several contracts, ask for cash payment for services, and offer to sign such Assisted Reproductive Technology contracts that do not take into account the interests of the child’s genetic parents. Therefore, the assistance of a Ukrainian lawyer may be required while entering into a contract with the Human Reproduction and Embryology Center in Ukraine.

And almost all foreigners from the countries where the reproductive technologies and/or surrogacy are not allowed (Canada, Germany, Great Britain, Spain) will be interested in the proper execution of documents confirming the relationship with the child born by a surrogate mother in Ukraine.

In particular, difficulties may arise at the stage of registration of citizenship of a child born with the use of assisted reproductive technologies. In Ukraine, it is possible to obtain a birth certificate for a child born through surrogacy, and this is not a problem.

Problems may arise with the recognition of such a child’s birth certificate issued in Ukraine by the state of permanent residence of the parents. If such a state does not recognize reproductive technologies and/or surrogacy, the Ukrainian birth certificate will not be recognized by it. As a result, the country of parents’ residence will not issue a passport (or another document) and will not grant citizenship to such a child.

The way out of this situation, which works in practice and has been verified by Ukrainian lawyers many times, is to obtain a Ukrainian court decision about the parental relationship between the child and the parents. Then, the citizenship will be granted and the documents for the child in the country of residence of the parents will be issued based on such court decision.

A foreign plaintiff shall file a claim for recovery of maintenance (change of the amount of maintenance payment) from a defendant residing in Ukraine through an authorized body in the plaintiff’s permanent place of residence (most often, it is a ministry of justice of a corresponding state). The authorized body shall send relevant documents to the Ministry of Justice of Ukraine after checking the statement for compliance with the Convention on the Recovery Abroad of Maintenance or other international treaties concluded with Ukraine.

The statement of claim for the recovery of maintenance in Ukraine shall be made by the plaintiff in writing taking into account the requirements of the Civil Procedure Code of Ukraine and the Convention, and shall contain the following information:

• Full name of the plaintiff, date of birth, citizenship, place of residence, postal code, telephone number, name and address of any legal representative of the plaintiff, photo of the plaintiff, in appropriate cases, the full name and date of birth of a person, whose maintenance shall be recovered.
• Full name of the defendant and, so far as the plaintiff is aware, his/her addresses over the past five years, date of birth, citizenship and occupation and place of employment, postal code, contact details, if available, his/her photo shall be also added;
• Content of the plaintiff’s claims;
• Presentation of the circumstances by which the plaintiff substantiates his/her demands, as well as any other information, for example, on the financial and family circumstances of the plaintiff and defendant;
• List of the attached documents;
• Power of attorney authorizing the Ministry of Justice of Ukraine to represent the plaintiff’s interests in the case of the recovery of maintenance.

A notarized translation of all materials into Ukrainian shall be submitted with the statement.

The content of the plaintiff’s claims is a sum that makes the amount of maintenance payment, which shall be paid by the defendant. The maintenance payments may be made in a fixed amount or as a part of all types of incomes in accordance with the current legislation of Ukraine.

The minimum amounts of child maintenance payment may be collected without recourse – for one child – 1/4 of the payer’s income, for two children – 1/3 of the payer’s income, and for three or more children – 1/2 of the payer’s income, but no more than 10 minimum subsistence levels per child of the appropriate age for each child.

How to perform the foreign court’s decision to recover child maintenance in Ukraine?

In order to recover the maintenance payments awarded by the foreign court’s decision on the territory of Ukraine, an interested person shall file a petition for recognition and enforcement of the foreign court’s decision to recover the maintenance from the defendant (the debtor), who lives in Ukraine. The petition shall meet the requirements of the Civil Procedure Code of Ukraine and the Convention, and set out in writing and contain:

1) full name of the plaintiff, date of birth, citizenship, place of residence (stay) or location, place of employment, as well as the name and address of any legal representative of the plaintiff, in appropriate cases, the full name and date of birth of a person, whose maintenance shall be recovered.

2) full name of the defendant, date of birth, citizenship, and, so far as the plaintiff is aware, his/her addresses over the past five years, and his/her occupation, his/her location or location of his/her property in Ukraine;

3) reasons for filing the petition, as well as any other information, including the financial and marital status of the plaintiff and defendant.

The following documents shall be attached to the petition:

• A copy of the foreign court’s decision certified in the prescribed manner, in respect of which the statement on the enforcement is filed;
• An official document stating that the foreign court’s decision has entered into legal force (if this is not indicated in the decision);
• A document certifying that the party, in respect of which the foreign court’s decision was made and which did not participate in the proceeding, was duly notified of the time and place of the hearing of the case;
• A document defining in which part or from what time the foreign court’s decision shall be implemented (if it has already been implemented before);
• A document certifying the authority of the plaintiff’s representative (if the statement is filed by the representative);
• A photo of the plaintiff and, if possible, a photo of the defendant;
• Power of attorney authorizing the Ministry of Justice of Ukraine to represent the plaintiff’s interests in the case of the recovery of maintenance.

The petition and the documents attached to it shall be provided together with the certified translation into Ukrainian.

Based on the foreign court’s decision and the decision of the Ukrainian court on granting permission to enforce the foreign court’s decision, a writ of execution, which shall be submitted to the bodies of the state enforcement service, is issued upon the request of the plaintiff or his/her authorized representative.

If the shareholder in a NATURAL person:

Scan of the ID will be translated into Ukrainian (with notary certification). Usually it costs up to 70 USD. 

The Power of attorney shall be:

1)    with apostille (if you make it the Member state of Convention of 5 October 1961 Abolishing the Requirement of Legalisation for Foreign Public Documents (https://www.hcch.net/en/instruments/conventions/full-text/?cid=41) OR

2)    legalized in the state of issuance.

The Power of attorney shall be translated into Ukrainian (with notary certification). Usually it costs up to 100 USD.

If the shareholder in a LEGAL ENTITY:

1. Extract from the trade register of the shareholder company.
2. Power of attorney (we provide the draft).

Both documents shall be:

2)    legalized in the state of issuance.

The translation of these documents into Ukraine (with notary certification) shall cost up to 150 USD total.

II. REQUIRED INFORMATION (full Questionnaire is here)

To draft documents for registration of the LLC in Ukraine we would ask to provide us with following information:

1. Name of the company.
2. Amount of the share capital.
3. Registration address (we may assist with obtaining mailbox address).
4. Subject of activity of the company.
5. Amount of the employees of the Ukrainian company.
6. Tax system (VAT, simplified tax system etc.) – our lawyers will consult about Ukrainian tax system.
7. Name of the director.

III. HOW THE REGISTRATION RUNS?

After all foreign documents have been translated and our lawyers have drafted Charter (Memorandum of articles) and other obligatory documents we apply to the Ukrainian State Company Register and to the Ukrainian Tax Authority.

Next day after application company has to be registered and to obtain Registration number.  It means that the registration is finished.

Further steps are: obtaining work permit for the foreign employee, temporary residence permit, obtaining licenses etc. 

IV. FEES

Translation fees: up to 250 USD.

Obtaining the tax number for one shareholder – 50 USD + translation+notary fee. 

Fee for company formation is 800 USD (total). 

Share capital: 1 UAH, but we recommend 1000 USD.

If you do not have office in Ukraine – “mail box” will cost for 200 USD/year. 

Work permit: 300 USD + 300 USD (state fee). 

Temporary residence permit – 300 USD (total). 

Temporary nominee director services – 250 USD/month.
