Checklist for lawyer: LLC incorporation

The sequence of actions of  lawyer when creating an LLC:

1. Get a questionnaire from the founders of the LLC
2. Order / receive translation and notarization (if necessary) of:

• Founders’ passports
• Extracts from the commercial register of the founder (s)
• Beneficiary passports
• Power of attorney (TIN, signing of constituent documents)

3. Obtaining a TIN for the founder (s) (if necessary)
4. Drafting of documents:

• Application for registration indicating the selected taxation system
• Charter (if no model charter is used)
• Corporate agreement (if concluded)
• Solution (protocol)
• Application for employment of the Director
• Director appointment order
• Structure of beneficial ownership
• Power of attorney (if the constituent documents will be submitted to the administrative services center)
• !!!only current names of streets shall be used (according to the Law)!!!

5. If necessary, coordinate documents with the founders
6. Send / coordinate documents with a notary
7. Appoint the time and day at the notary and agree with the founders
8. Accompany the signing of documents at a notary
9. Submit documents to the administrative services center (if the LLC was not registered with a notary)
10. Get an extract from a notary
11. Scan all documents
12. Order and receive the seal of the LLC
13. Control over the registration of the LLC in tax office:

• VAT
• Flat tax

14. Support opening of a bank account
15. Issue an Electronic Digital Signature
16. Hand over all documents and seal to the client
17. Draw up an agreement on a legal address (“mailbox” service) (if necessary):

• Get an invoice for the services
• Get the contract and hand over it to the client and service provider

18. Conclude an agreement on the provision of accounting services (if necessary)
19. Report to the Senior lawyer

 

By controlling himself according to this checklist, the lawyer will be able to efficiently and as quickly as possible accompany the registration of the LLC and carry out related actions.
