Check-list for lawyer: increase of share capital

Registration of an increase in the authorized capital of an LLC requires the implementation of the following legal actions:

Obtaining data and documents from LLC according to the questionnaire.
Check the content of the charter and the need to amend it (whether the amount of the authorized capital is indicated there).
Drawing up a protocol of the shareholder (parent company) of the LLC shareholder on the consent to the shareholder to increase the charter capital of the LLC (if necessary).
Drawing up and execution of the protocol of the shareholder (decision of the shareholder ) of the LLC on the intention to increase the sharecapital of the LLC (not notarized).
Obtaining information on making additional contributions (contributions) to the sharecapital:
1. Cash or property?
2. Date of contribution.
3. Currency exchange rate (for cash contributions).
4. Property evaluation (for property contributions).
Execution of a power of attorney to represent interests at a general meeting of LLC participants (if necessary).
Preparation of documentation for registration:
1. Minutes (decision) of the general meeting of the LLC on the approval of the results of performed additional contributions by the shareholders of the LLC.
2. Registration form (application).
3. New edition of the charter (if necessary).
Coordination of documents with the client (if necessary).
Coordination of documents with a notary (if necessary).
Coordination and appointment of a meeting with a notary with clients.
Accompanying the execution of documents by clients at a notary.
Submission of documents to the Ukrainian Justiceoffice (if the notary have not carry out state registration of changes).
Obtaining an extract, “inventory”.
Accompanying the return to the shareholder of the remaining funds due to the exchange rate difference when transferring funds in foreign currency and making an additional contribution to the LLC (if necessary).
