Separate division of company:
A separate division is a division of Ukrainian company that is located outside its location, manufactures products, performs works or transactions, provides services on its behalf, or represents and protects the interests of the enterprise.
Pursuant to Article 95 of the Civil Code of Ukraine the types of separate divisions are: branches and representative offices.
Branch means a separate division of a legal entity that is located outside its location and performs all or part of its functions.
Representation office is not identical to the concept of “branch”, it represents and protects the interests of the enterprise without performing its functions.
The branch and representative office are not legal entities, they are not subject to state registration, however, the data on them shall be entered into the Unified State Register of Information on Separate Divisions of Legal Entity. If we are talking about the opening of foreign branches on the territory of Ukraine, they, in accordance with the Law of Ukraine “On Foreign Economic Activities”, are subject to state registration, – accreditation in the manner and on the terms stipulated by law.
Registration of separate divisions of company:
The procedure for making an entry in the Unified State Register shall be preceded by the decision to establish a branch / representative office. As a rule, such decision shall be made by the highest governing body of the legal entity (general meeting of shareholders, founders). Location, objectives, functions, governing bodies, and procedure for the liquidation of separate division shall be determined by the relevant provision of it.
