Reduction of the sharecapital of theLLC requires a number of legal actions, for preparation and implementation of which the lawyer will need the following documents or informatio :
- Registration code (EDPOU) of LLC.
- Scan of the charter of the LLC (or an «Inventory»).
- Number of the last decision (protocol) of the general meeting of participants of the LLC.
- Grounds for changing the size of the sharecapital of LLC (participant exit, decrease in the par value of the shares of all shareholders, incomplete formation of sharecapital, etc.).
- Terms of reducing the sharecapital.
- Passport data of LLC participants and their personal tax numbers (TINs).
- If a shareholder of an LLC is a legal entity, then decision (protocol) of the general meeting of LLC participants on the reduction of the charter capital of LLC and/or power od attorney for signing such protocol are required.
- Do all the participants agree with the reduction of the charter capital of the LLC?
- Passport data and TIN of the person who will represent the interests of the LLC members and/or LLC director or will they participate in the general meeting of members personally?
- List of creditors of LLC, whose claims are not secured by pledge, guarantee or surety (Art. 19 of the Ukrainian Law “About LLCs”).
