Clients questionnaire: withdrawal of shareholder from LLC

For legal support of a shareholder ‘s withdrawal from Ukrainian LLC, a lawyer will need the following data or documents:

Registration code of the Ukrainian LLC.
Scan of the charter of the LLC (or “Inventory”).
Scan of the corporate agreement (if any).
Desired withdrawal date.
Has the share capital been formed in full?
How was the share capital (cash or property) formed and what does the shareholder claim?
Shareholder ‘s documents and data:
For legal entities:
1. Full name of the company;
2. Registration code;
3. Share in LLC;
4. The existence of a decision (protocol) of the shareholder(-s) of such a legal entity about the exit from the LLC;
5. + for non-residents:
  1. Extract from the register of companies with apostille/legalization (as well as translation with notarial certification);
  2. Bank account in Ukraine;
  3. Who will be the representative? This person’s data. The scan of a power of attorney (for non-residents with apostille/ legalization, as well as translation with notarial certification).
For individuals:
1. Scan of the passport and TIN of the shareholder(s) (for foreigners, – with apostille/legalization, as well as translation with notarial certification);
2. Share in LLC;
3. Registered place of residence of the shareholder(s) with indication of postal codes (and current street names);
4. Migrant document (for residents of Donetsk, Lugansk regions or Crimea) (to clarify the address of residence).
