Check-list for lawyer: amendment of data about LLC

Changes in information about an LLC in the Ukrainian Unified State Register (of legal entities) may relate to location, contact information, type of business activities and others. To formalize such changes, a lawyer must perform the following actions:

Obtain information from the founders / director of the LLC according to the list.
Check the availability of the necessary documents and the procedure for registration of changes in accordance with the Law on State Registration of Legal Entities, Individual Entrepreneurs and Public Formations.
Draw up the minutes of the general meeting of participants or the decision of a single participant of the LLC (if applicable).
Fill in the registration card (application form).
Draw up and issue a power of attorney from the LLC participant (if applicable).
Draw up and issue a power of attorney from the director of the LLC to perform registration actions.
Clear documents with the notary before their execution (if applicable).
Clear documents with the client before their execution (if applicable).
Agree with the client the time and date of the meeting with the notary or in the Registration office.
Report to the manager on the results of the work performed.
