The labor legislation of Ukraine does not provide for such term as “trade secret agreement” (NDA), therefore, the general provisions of Ukrainian law shall be used.
Many Ukrainian companies have adopted the experience of foreign and international companies and conclude agreements with employees on non-disclosure of trade secrets (similar to non-disclosure agreement). This makes possible to improve the settlement of the issues related to the concept, the composition of the trade secret, and the procedure for access to it and disclosure of it.
For the protection of trade secrets at an enterprise, it is advisable to issue a Regulation on Trade Secrets (Confidential policy), enter into agreements of non-disclosure of trade secrets, or otherwise entrust the employees with the obligation to observe the rules of trade secrets. It should be remembered that bringing the offender to responsibility will, in most cases, be ineffective and hardly help to recoup losses of the enterprise.
