Checklist for a supply contract

In order to draft a supply agreement (a sample supply agreement can be found at the link) that protects the interests of a particular company and takes its interests into account, a lawyer will need the following information:

Details of the parties (name, country of registration, registration number, VAT number, legal address, authorized representative, bank details, contact information).
The charter of the company (in certain cases, when the charter contains restrictions on the conclusion of transactions).
Will there be one delivery or in batches?
Procedure for ordering goods.
Terms and conditions of delivery, including who carries out the transportation.
What Incoterms should be included in the contract?
Payment terms: prepayment /payment upon receipt, payment currency, letter of credit , etc.
The procedure for accepting goods, including actions in case of claims regarding the quality and/or quantity of goods.
Conditions for replacement or compensation in case of poor quality or incomplete goods.
Possibility of refusal of delivery and liability for such refusal.
Warranty conditions.
Restrictive conditions: sanctioned goods and entities, special reporting, additional package of documents on beneficiaries and affiliated persons.
What liability do the parties bear for breach of contract?
Which country’s laws govern the agreement?
Dispute resolution procedure: choice of court/arbitration and applicable rules.
Special requirements for communication between the parties.
Other conditions are at the discretion of the client and lawyer.
