In order to draft a supply agreement (a sample supply agreement can be found at the link) that protects the interests of a particular company and takes its interests into account, a lawyer will need the following information:
- Details of the parties (name, country of registration, registration number, VAT number, legal address, authorized representative, bank details, contact information).
- The charter of the company (in certain cases, when the charter contains restrictions on the conclusion of transactions).
- Will there be one delivery or in batches?
- Procedure for ordering goods.
- Terms and conditions of delivery, including who carries out the transportation.
- What Incoterms should be included in the contract?
- Payment terms: prepayment /payment upon receipt, payment currency, letter of credit , etc.
- The procedure for accepting goods, including actions in case of claims regarding the quality and/or quantity of goods.
- Conditions for replacement or compensation in case of poor quality or incomplete goods.
- Possibility of refusal of delivery and liability for such refusal.
- Warranty conditions.
- Restrictive conditions: sanctioned goods and entities, special reporting, additional package of documents on beneficiaries and affiliated persons.
- What liability do the parties bear for breach of contract?
- Which country’s laws govern the agreement?
- Dispute resolution procedure: choice of court/arbitration and applicable rules.
- Special requirements for communication between the parties.
- Other conditions are at the discretion of the client and lawyer.
